These Terms of Use ("Terms") constitute a binding agreement between you and Latitude Energy Holdings, Inc. and its affiliates ("Latitude Energy," "we," "us," or "our") governing your access to and use of latitude.energy and any related online services that link to these Terms (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
If you are accessing the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers both to you individually and to that organization.

1. Acceptance and Eligibility
The Site is intended for use by business and professional audiences. You must be at least eighteen (18) years old (or the age of majority in your jurisdiction, if higher) to use the Site. By using the Site, you represent and warrant that you meet this requirement and that you are not barred from doing so under any applicable law. If you are accessing the Site on behalf of an organization, you further represent that you are duly authorized to bind that organization.
2. Modifications to These Terms
We may modify these Terms at any time by posting the revised version on the Site. The "Last Updated" date at the top of these Terms reflects the most recent revision. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of those revisions. If you do not agree to the revised Terms, you must stop using the Site.
3. Use of the Site
3.1 Permitted Use
Subject to your compliance with these Terms, Latitude Energy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for lawful informational and business purposes.
3.2 Prohibited Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to the Site, any related systems, or any data not intended for you
- Probe, scan, or test the vulnerability of the Site, or breach any security or authentication measures
- Interfere with or disrupt the operation, security, integrity, or performance of the Site
- Use any robot, spider, scraper, crawler, data-mining tool, or other automated means to access, extract, or index content from the Site, except for legitimate, public-facing search-engine indexing
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, algorithms, methodologies, or trade secrets from the Site
- Remove, obscure, or alter any copyright, trademark, patent, or other proprietary notices on the Site
- Use the Site to transmit any malware, harvest personal information, send unsolicited communications, or facilitate phishing or fraud
- Frame, mirror, or otherwise reproduce or distribute the Site or any content on it without our prior written consent
- Use the Site or its content to develop, train, fine-tune, or evaluate any artificial-intelligence or machine-learning model, dataset, or competing product or service, except as expressly permitted in writing by Latitude Energy
- Take any action that imposes an unreasonable or disproportionately large load on our infrastructure or interferes with other users' access to the Site
4. Intellectual Property
4.1 Our Intellectual Property
The Site and its contents — including text, graphics, illustrations, logos, icons, images, photographs, technical diagrams, audio and video material, animations, page layout, design, structure, and underlying source code — are owned or licensed by Latitude Energy and are protected by United States and international copyright, trademark, trade secret, patent, and other intellectual property and proprietary rights laws. Except for the limited license granted in Section 3.1, no rights or licenses are granted to you with respect to any of the foregoing, whether by implication, estoppel, or otherwise.
4.2 Our Trademarks
"Latitude Energy" and the Latitude Energy logo are trademarks of Latitude Energy Holdings, Inc. You may not use these marks without our prior written consent.
4.3 Third-Party Marks and Technology — TRIG
"TRIG" (Transport Integrated Gasification) and related names, marks, technology, patents, copyrights, and know-how may be trademarked, patented, or otherwise owned by third parties. References on the Site to TRIG and any associated technology, performance data, or research are made for informational purposes only and do not constitute or imply any endorsement, sponsorship, or affiliation. Any right to use TRIG or any associated intellectual property will be governed by a separate written agreement between Latitude Energy (or its applicable affiliate) and the licensor or counterparty. Nothing on the Site grants you, by implication, estoppel, or otherwise, any right or license to use TRIG, any related trademark, patent, copyright, trade secret, or any other intellectual property of any third party.
4.4 Other Third-Party Marks
All other trademarks, service marks, and trade names appearing on the Site are the property of their respective owners. References to third-party marks are for identification purposes only and do not imply endorsement.
5. Feedback
If you submit comments, suggestions, ideas, proposals, or other feedback about the Site, our technology, or our products and services ("Feedback"), you grant Latitude Energy and its affiliates a perpetual, irrevocable, royalty-free, worldwide, fully paid-up license, with the right to sublicense, to use, reproduce, modify, prepare derivative works of, distribute, publicly perform, publicly display, and otherwise exploit such Feedback for any purpose, without obligation or compensation to you. To the maximum extent permitted by law, you waive all moral rights in such Feedback. You represent and warrant that you have the right to submit such Feedback and that it does not infringe or misappropriate the rights of any third party.
6. Copyright Complaints (DMCA)
If you believe that material on the Site infringes a copyright you own or control, please send a written notice to our designated agent containing the following information required by the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)):
- Your physical or electronic signature
- Identification of the copyrighted work claimed to have been infringed (or a representative list, if multiple works)
- Identification of the allegedly infringing material and its location on the Site sufficient to permit us to locate it

To the fullest extent permitted by applicable law, in no event will Latitude Energy, its affiliates, or their respective officers, directors, employees, agents, licensors, suppliers, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any damages for lost profits, lost revenues, lost business opportunities, lost data, business interruption, loss of goodwill, or cost of substitute goods or services, arising out of or relating to the Site, the content, or these Terms, whether based on contract, tort (including negligence), strict liability, statute, or any other legal theory, and whether or not Latitude Energy has been advised of the possibility of such damages.
In any event, the total aggregate liability of Latitude Energy and its affiliates to you for all claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (USD 100).
The limitations in this Section apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the foregoing applies only to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Latitude Energy and its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party (including any intellectual property right or right of privacy); or (d) any content or information you submit through the Site. Latitude Energy reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with our defense at your expense.
14. Termination
We may suspend, restrict, or terminate your access to the Site at any time, for any reason or no reason, with or without notice, and without liability to you. Sections that by their nature are intended to survive termination — including, without limitation, Sections 4 (Intellectual Property), 5 (Feedback), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and 18 (General Provisions) — will survive any termination of these Terms.
15. Governing Law; Forum; Jury and Class-Action Waivers
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Site (a "Dispute") will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You agree that the state and federal courts located in the State of Delaware will have exclusive jurisdiction over any Dispute, and you consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
To the fullest extent permitted by applicable law, each party knowingly, voluntarily, and intentionally waives any right to a trial by jury in any Dispute.
You and Latitude Energy further agree that any Dispute will be brought solely in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You may not consolidate your claims with those of any other party.
16. International Use; Sanctions and Export Controls
The Site is hosted in the United States. Latitude Energy makes no representation that the Site or its content is appropriate or available for use in any particular jurisdiction.
The Site is not directed to, and access is not authorized from, any country, region, or person subject to comprehensive U.S. economic sanctions or trade embargoes administered by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC") — currently including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine — or to any person or entity identified on OFAC's Specially Designated Nationals and Blocked Persons List or any other applicable U.S. or foreign restricted-party list. By accessing the Site, you represent that you are not located in, under the control of, or a national or resident of, any such country or region, and that you are not such a restricted person or entity.
You agree to comply with all applicable U.S. and foreign export control, sanctions, and import laws and regulations in connection with your use of the Site and any related communications. If you choose to access the Site from outside the United States, you do so on your own initiative and are solely responsible for compliance with all applicable local laws, including export, import, sanctions, consumer-protection, and data-protection laws.
17. Force Majeure
Latitude Energy will not be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond its reasonable control, including, without limitation, acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, government action or omission, embargoes, sanctions, labor disturbances, pandemics or epidemics, telecommunications, network or internet failures, supplier failures, equipment failures, power failures, or any other event or condition of force majeure.
18. General Provisions
18.1 Severability and Waiver
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified or interpreted to be valid and enforceable to the greatest extent permitted by law. The failure of either party to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
18.2 Assignment
You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent, and any attempted assignment without such consent will be void. Latitude Energy may freely assign or transfer these Terms in connection with a merger, acquisition, sale of assets, financing, or other corporate transaction, or to any successor or affiliate.
18.3 Relationship of the Parties
Nothing in these Terms creates any partnership, joint venture, employment, agency, or fiduciary relationship between you and Latitude Energy. Neither party has any authority to bind the other.
18.4 Headings
Section headings are provided for convenience only and have no legal or contractual effect.
19. Notices and Electronic Communications
Notices to you may be provided by posting on the Site or by sending an email to any address you have provided to us. By using the Site, you consent to receive electronic communications from us, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
20. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Latitude Energy regarding the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, regarding the Site.
